Terms of Service — Frontdesk AI

These Terms of Service ("Terms") govern your access to and use of the Frontdesk AI platform, websites, and related services (the "Service"), operated by Justin Pugh, doing business as Frontdesk AI ("Frontdesk AI," "we," "us," or "our"), based in Rockford, Illinois. By creating an account, accessing, or using the Service, you ("Customer," "you") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Frontdesk AI provides software that helps appointment-based businesses manage front-desk tasks, which may include AI-assisted phone answering, SMS messaging, online booking and scheduling, a client management dashboard, payment processing through third parties, and related tools. Features available to you depend on the subscription plan you select.

We may add, change, or remove features over time. We will try to give reasonable notice of material changes that reduce core functionality.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to enter into these Terms on behalf of your business. You are responsible for the accuracy of the information you provide, for all activity under your account, and for keeping your login credentials secure. Notify us promptly at rockfordtechai@gmail.com if you suspect unauthorized access.

3. Subscriptions, Fees, and Payment

The Service is offered on a subscription basis. Current plans and prices are listed on our website and are stated in U.S. dollars:

Optional add-on services (such as website development) may be offered separately and priced as quoted to you.

Subscriptions renew automatically each billing period unless cancelled before the renewal date. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis. Fees are non-refundable except where required by law or expressly stated. We may change pricing with at least 30 days' notice; changes apply at your next renewal.

If a payment fails, we may suspend or terminate your access until the balance is resolved.

4. Cancellation

You may cancel at any time, effective at the end of your current billing period. Cancellation instructions are available in your dashboard or by contacting rockfordtechai@gmail.com. You remain responsible for fees incurred before cancellation.

5. Customer Data and End-User Information

In using the Service, you will upload or generate data about your own business and your customers ("Customer Data"), which may include names, phone numbers, email addresses, appointment details, and—if you use related features—insurance or payment information.

You represent and warrant that:

We process Customer Data only to provide the Service to you, as described in our Privacy Policy. As between you and us, you own your Customer Data.

6. SMS, Calls, and Communications Compliance

The Service can send text messages and place or answer calls on your behalf. Laws including the Telephone Consumer Protection Act (TCPA) and related regulations govern automated communications. You are responsible for obtaining proper consent from your customers before messages or calls are sent to them, and for honoring opt-out requests (such as "STOP" replies). You agree not to use the Service to send unlawful, harassing, deceptive, or unsolicited messages. You will indemnify us for claims arising from your communications (see Section 11).

8. Third-Party Services

The Service relies on third-party providers (for example, for messaging, calling, payments, hosting, and AI processing). Your use may be subject to those providers' terms. We are not responsible for third-party services and do not guarantee their availability.

9. Service Availability; No Guarantee of Results

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be unavailable for maintenance, updates, or reasons outside our control. We do not guarantee any specific business result, booking volume, revenue, or outcome from using the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FRONTDESK AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases the limitations apply to the maximum extent permitted.

12. Indemnification

You agree to defend, indemnify, and hold harmless Frontdesk AI from any claims, losses, or expenses (including reasonable attorneys' fees) arising out of your Customer Data, your communications with your customers, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service unlawfully. On termination, your right to use the Service ends. We will make Customer Data available for export for a reasonable period as described in our Privacy Policy, after which we may delete it.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in or serving Winnebago County, Illinois, and you consent to their jurisdiction.

16. Miscellaneous

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. These Terms are the entire agreement between you and us regarding the Service.
